1. Acceptance of Terms

By accessing or using the ATX Solutions platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

2. Description of Service

ATX Solutions provides a software-as-a-service (SaaS) platform for business management, including but not limited to:

  • Tenant and customer management
  • Product and service management
  • Invoicing and billing
  • Subscription management
  • Support ticket management
  • Document management

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

Subscription Plans

We offer various subscription plans with different features and pricing. Details of each plan are available on our pricing page.

Payment Terms
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of your account
Payment Methods

We accept payment via EFT (bank transfer) and supported online payment gateways.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit harmful, offensive, or inappropriate content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for fraudulent purposes
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the Service without authorization

6. Intellectual Property

The Service, including its content, features, and functionality, is owned by ATX Solutions and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data or content you upload to the Service. By using the Service, you grant us a license to use, store, and process your content as necessary to provide the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for maintaining backups of your data. While we implement reasonable data protection measures, we are not liable for any data loss.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance
  • Factors beyond our control

9. Termination

Termination by You

You may cancel your subscription or any purchased feature add-on at any time from your account management pages or by contacting us.

Cancellation Timing & Billing
  • Subscription Plans: When you cancel a paid subscription, your cancellation takes effect at the end of your current billing period. You will retain full access to your plan features until the period ends. No further charges will be applied for the following month or any subsequent period. You will not be billed again once your current billing period expires.
  • Feature Add-Ons: When you cancel a purchased feature, the cancellation takes effect immediately. Access to the feature is removed at the time of cancellation. No further charges will be applied for the cancelled feature.
  • Free Plans: Free plan cancellations take effect immediately. Since no charges are associated with free plans, no billing adjustments are required.
  • No Pro-Rata Refunds: Fees already paid for the current billing period are non-refundable. Your access continues until the end of the period you have already paid for.
Termination by Us

We may terminate or suspend your account if you:

  • Violate these Terms
  • Fail to pay applicable fees
  • Engage in fraudulent or illegal activity
  • Create risk or legal exposure for us
Effect of Termination

Upon termination or expiry of your subscription, your account will be downgraded to the free plan. You may request an export of your data before or after cancellation. We may delete your data after a reasonable retention period following account closure.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATX SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ATX Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the courts of South Africa.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
